These Advertiser Terms ("these Terms") apply when you book airtime with Pay and Post to show your advert on an SLX On Air screen. SLX On Air is owned and operated by Wabi Tech Private Limited ("SLX", "we", "us").
These Terms add to our Terms and Conditions and Privacy Policy. If they conflict on Pay and Post, these Terms prevail. You accept them when you make your first booking. If you book for a business, you confirm you are authorised to bind it, and "you" includes that business.
1. Who can advertise
1.1 To book, you must be at least 18 years old and a follower of the board you book on.
1.2 Bookings are not available to a board's owner or managers on their own board, or to anyone banned from it.
2. Words we use
- Board: an SLX On Air noticeboard whose owner lets followers pay to post, with every screen linked to it.
- Venue: the premises where the board's screens are, run by the venue owner.
- Advert: the post you book, of up to 5 photos or videos.
- Booking: your advert on one board for the days you chose.
- Paid airtime: the airtime your booking pays for, shown at checkout for each day.
- Bonus airtime: extra airtime your advert may get at no charge when slots are unsold. It is never promised.
- Delivered airtime: the time your advert was played on a screen that was powered on and showing the SLX Smart Box signal, as recorded by SLX's Proof of Play.
- Balance: your Pay and Post balance (Section 9).
3. How a booking works
3.1 You choose the boards and the days. For each board we show the price, an estimate of your paid airtime a day, and any bonus airtime we expect.
3.2 The price is fixed when you book. It includes the discounts and charges shown at checkout. GST is added at 18% and shown separately.
3.3 You pay when you book, from your balance, by card, UPI or netbanking through our payment partner, or a mix. The money for each booking is held for it (Section 9.3).
3.4 The venue owner decides whether your advert runs. The owner, or someone they authorise, must approve your advert by the deadline we show you. Your advert starts when it is approved, and never before your first booked day. You pay only for the time it plays after approval.
3.5 You cannot edit an advert once booked. To change it, cancel and book again, or fix and resend it after a first rejection.
3.6 We may limit how many bookings, days or boards you can book at once.
4. Airtime and Proof of Play
4.1 Airtime is an estimate. It is based on each screen's recent on and off history and the other posts on the board. We do not promise a number of hours, and neither does the venue.
4.2 We count delivered airtime with Proof of Play. It records each play on each screen. You can download a Proof of Play report for your booking in the app.
4.3 A screen counts only while it is powered on and showing our signal. A screen switched to another input, or with a failed display, may still be recorded as showing your advert. Where a venue's screen hours were declared by the venue instead of measured, we tell you before you book.
4.4 If your paid airtime falls short, the difference comes back to you. Each day is settled after its plays are counted, normally the next day. You pay for delivered airtime up to your paid airtime for that day, and the rest of that day's price is returned to your balance when your campaign ends. Bonus airtime is free and never credited.
4.5 If a screen is offline and its plays don't reach us by the end of the next day, that time counts as not delivered.
5. Your advert
5.1 You are responsible for your advert. It must be truthful, and you must be able to back up every claim in it. It must follow the law, including the Consumer Protection Act 2019, the CCPA Guidelines on misleading advertisements, and the ASCI Code.
5.2 You must own, or have permission to use, everything in it, including music, photos, videos, logos, trademarks, and the names or images of people.
5.3 Your advert must not:
- advertise anything unlawful, including tobacco or alcohol where advertising them is restricted, betting or gambling, or medicines and treatments that may not be advertised;
- make false, misleading or unproven claims, including claims to cure or prevent disease;
- be obscene, defamatory, hateful, violent or discriminatory, or harmful to children;
- copy another business's brand or pass itself off as someone else; or
- carry malware, hidden links or anything designed to mislead the people who scan or see it.
5.4 Format rules apply to every advert. The app shows the limits, such as how long each photo or video can play and how long the whole advert can play each time. A video longer than its time stops at that time. These rules are applied automatically and do not change what your advert says.
5.5 SLX does not review adverts before they run. The venue owner decides whether your advert is right for their venue. An approval by the owner does not mean SLX or the owner endorses your advert, or that it is lawful.
6. When the venue owner rejects your advert
6.1 The owner may reject your advert for a reason from the app's list, for example that it doesn't suit the venue or competes with their business. You will see the reason.
6.2 After a first rejection, the money stays in your balance. You may fix your advert and send it again for the same booking.
6.3 After a second rejection of the same booking, the booking closes and its money is refunded to your original payment method.
6.4 If the owner doesn't decide by the deadline, the booking doesn't run and its money is returned to your balance. You are not charged.
7. When an advert is removed
7.1 The venue owner or SLX may remove a running advert, giving a reason. SLX may remove one on a complaint, a report, an order from a court or authority, or where we reasonably believe it breaks Section 5.
7.2 When your advert is removed, the money for airtime not yet delivered is returned to your balance. You pay only for airtime already delivered.
8. Cancelling a booking
8.1 You can cancel at no charge while your advert is awaiting approval, and within 15 minutes of booking even if it has already been approved.
8.2 After your advert is approved, cancelling or stopping it may carry a cancellation charge. The charge, and how it is worked out for the day running and for later days, is shown at checkout and in the app before you confirm. It is fixed for your booking when you book.
8.3 There is never a charge when the venue owner rejects or removes your advert.
8.4 To change your days, cancel and book again. We may limit how many bookings you can cancel in a period.
9. Your Pay and Post balance
9.1 What it is. Your balance is a prepaid amount you can use only to pay for SLX airtime, on any board. It is not a bank account or a wallet for other purchases. It earns no interest, and you cannot transfer it to anyone else.
9.2 How money goes in. Only when you book: the amount for the booking, plus any optional top-up offered at checkout, up to the limit shown there.
9.3 Money held for a campaign. The money for a booking is held from the time you book until the campaign ends and its final amount is worked out. Then whatever was not used comes back to your available balance.
9.4 Return money. You can ask for your available balance back at any time with Return money in the app. We refund it to the payment method you paid with. Cards can take 5–10 working days, UPI is usually faster.
9.5 Older payments. A refund can go back only to a payment made within the period our payment partner allows (currently about 6 months). Money we cannot refund that way stays in your balance, and we will contact you about returning it.
9.6 Unused balance. If your available balance has not been used for 30 days, we may return it to your payment method automatically.
9.7 Your balance never expires and we never keep it as a penalty.
10. Prices, GST and invoices
10.1 Prices are in Indian Rupees. GST at 18% is added and shown separately.
10.2 SLX issues your tax invoice for the airtime used, when your campaign ends, or at the start of the next month for a campaign that runs past a month's end. We send it to your account email, and it is always in the app.
10.3 Business invoice. You may add your GSTIN before your invoice is issued, to get a business invoice. The GST details you give must be correct.
11. Payment problems and misuse
11.1 Chargebacks. If you dispute a payment with your bank or card provider, we may stop your advert and freeze your balance until the dispute is settled.
11.2 We may suspend your use of Pay and Post, and remove your adverts, if you break these Terms, misuse the service, or act fraudulently.
12. Your promise to cover losses (indemnity)
You will indemnify SLX, its directors and staff, and the venue owner against claims, penalties and reasonable costs arising from:
- your advert;
- a breach of Section 5; or
- your use of anyone else's rights without permission.
13. Limits on our liability
13.1 SLX is not liable for indirect or consequential loss, or for loss of profit, business or goodwill.
13.2 SLX's total liability for a booking is limited to the amount you paid for that booking.
13.3 Nothing in these Terms takes away rights you have under consumer law that cannot be excluded.
14. Closing your account
If you delete your account, your available balance is refunded to your payment method first. Money held for a campaign in progress is refunded when the campaign ends.
15. Personal information
The venue owner sees your display name and your advert, not your contact details or payment details. Our Privacy Policy explains how SLX handles personal information.
16. Complaints and grievances
16.1 You can report a problem with a booking in the app.
16.2 Our Grievance Officer is Nikhil Bapna, nikhil@simplylocalx.com, Wabi Tech Pvt. Ltd., C-64/4 Okhla Phase 2, New Delhi, Delhi 110020, India. We acknowledge complaints within 24 hours and resolve them within 15 days, or sooner where the law requires.
17. Changes to these Terms
17.1 We may update these Terms. The new version will show its date. You accept it when you next book.
17.2 Bookings already made continue under the terms that applied when they were made.
18. General
18.1 Law and courts. These Terms are governed by the laws of India. Subject to your rights under consumer law, the courts at New Delhi have jurisdiction.
18.2 Assignment. You may not transfer your rights under these Terms.
18.3 Severability. If any part of these Terms is found unenforceable, the rest still applies.
