These Venue Publisher Terms ("these Terms") apply when you turn on Pay and Post for an SLX On Air board. Pay and Post lets your board's followers pay to show their adverts on your screens. SLX On Air is owned and operated by Wabi Tech Private Limited ("SLX", "we", "us").
These Terms add to our Terms and Conditions and Privacy Policy. If they conflict on Pay and Post, these Terms prevail.
By turning on Pay and Post you accept these Terms for the organisation that owns the board. You confirm you are authorised to do so, whether that organisation is a business, a clinic, a school, a housing society or you as an individual. "You" means that organisation.
1. Words we use
- Board: your SLX On Air noticeboard with Pay and Post turned on, and every screen linked to it.
- Screen: a TV or display connected to an SLX Smart Box on the board.
- Venue: the premises where your screens are.
- Advertiser: a follower of your board who books airtime on it.
- Paid post: an advertiser's post, of up to 5 photos or videos, booked through Pay and Post.
- Advert slots: the number of slots on the board you open to advertisers.
- Slot-day: one advert slot on the board for one day.
- Delivered airtime: the time a paid post was played on a screen that was powered on and showing the SLX Smart Box signal, as recorded by SLX's Proof of Play. A screen that is switched to another input, or whose display has failed while it still draws the signal, may be recorded as showing the post; Section 8 covers your duties for this.
- Approvers: you, and anyone you allow in your board settings to approve paid posts.
2. Your role: you are the Venue Publisher
2.1 You decide what plays at your venue. No paid post appears on your screens unless you or one of your approvers approves it. Every approval is your decision to display that content at your venue.
2.2 You are responsible for that decision under the laws that apply to your venue. This includes any local rules on displaying advertising there, and any permission your venue, building, society or landlord requires.
2.3 Your approvers act for you. An approval by any of your approvers counts as yours. You can restrict approval to yourself in your board settings.
2.4 We keep a record of every approval: who approved, when, the exact content approved, how it was set to play, the version of these Terms and the app version. We may use it to show that the venue made the decision.
3. What SLX does, and does not do
3.1 We sell the airtime. SLX sells airtime on your board to advertisers in its own name, collects their payment, issues their tax invoices and pays you your share (Section 10). You supply the airtime at your venue to SLX.
3.2 We do not choose, check or change adverts. SLX does not pre-screen, select, edit, rank or curate paid posts. The advertiser is responsible for what the advert says. You decide whether it plays.
3.3 Format rules are not editing. We apply the same mechanical rules to every paid post: a limit of 120 seconds per play, how long each photo or video stays on screen, how often it plays and how airtime is shared. When a video is longer than its time allows, it stops at that time. None of this changes what an advert says.
3.4 We may remove a paid post. We may remove a paid post on a valid complaint, a report, an order from a court or government authority, or where we reasonably believe it is unlawful. We have no duty to monitor or review paid posts.
4. Turning on Pay and Post
4.1 To turn on Pay and Post, the board must:
- be on the Pro plan;
- use a slide Showtime mode (not Flow);
- have every screen pass SLX's screen on/off test, with the SLX software versions that support it;
- belong to one organisation, the one its screens belong to; and
- have a complete payout profile for that organisation (Section 10.5).
4.2 We may refuse to turn on Pay and Post for a board, or require more information first.
4.3 Only the owner of the board can turn on Pay and Post, change its money settings, or turn it off.
5. Reviewing paid posts
5.1 Every paid post needs approval before it plays. Nothing plays automatically.
5.2 Review before the deadline. The app shows the deadline for each paid post. If it isn't approved by then, it does not run and the advertiser is not charged. A paid post starts playing when it is approved, and never before its first booked day.
5.3 You may reject a paid post for any reason in the app's list, including that it competes with your business. The advertiser sees the reason you pick. After a first rejection, the advertiser may fix the post and send it again.
5.4 Do not approve a paid post that you know, or should reasonably suspect:
- is unlawful, or promotes anything unlawful;
- is false or misleading;
- uses music, images, names or trademarks the advertiser has no right to use;
- is obscene, defamatory, hateful, or harmful to children; or
- is unsuitable for the people who visit your venue.
5.5 You cannot book Pay and Post airtime on your own board.
6. Removing a paid post
6.1 You or your approvers may remove a paid post from your screens at any time, choosing a reason in the app.
6.2 When a paid post is removed, by you or by SLX, it stops playing on every screen. The advertiser gets back the money for the airtime not yet delivered. No one earns anything on undelivered airtime.
6.3 Removals for illegal content are recorded in SLX's takedown log.
7. Advert slots and prices
7.1 You set:
- how many advert slots the board has, alongside your own posts; and
- your slot price per day, from the options in the app.
7.2 SLX sets the platform pricing rules. These include demand pricing, discounts on longer campaigns, the screen-size factor, rounding and booking limits. We may change these rules. A change never alters the price of a booking already made.
7.3 You cannot reduce advert slots below what is already booked for any future day.
7.4 Advertisers are told airtime is an estimate. We do not promise them a number of hours, and you do not promise them any.
8. Your screens
8.1 Keep your screens working. During your usual hours, keep them switched on, on the SLX Smart Box input and in good working order.
8.2 Do not interfere with how airtime is measured. Do not tamper with the Smart Box, its software or its Proof of Play records. Do not leave a screen powered on but set to another input, or with a failed display, in order to be credited for airtime.
8.3 Tell us about screen changes. If you replace a Smart Box or a TV, the screen must pass the on/off test again. Where a screen's size cannot be detected, the size you declare must be accurate.
8.4 Declared hours. Where SLX allows a screen's working hours to be declared instead of measured, the hours you enter must be true. Advertisers are told those hours were declared by the venue.
8.5 We may pause Pay and Post on a board if a screen stops reporting correctly. Bookings in progress are handled under Section 12.
9. What advertisers agree to
Advertisers accept SLX's Advertiser Terms. In them, they promise their adverts are lawful, not misleading and cleared for all rights. They also agree to indemnify you and SLX for claims arising from their adverts. This does not replace your duty to review under Section 5.
10. Your earnings
10.1 Your share is 70% of the price SLX charges the advertiser for delivered airtime on your board, excluding GST. A different share applies only if we agree it with you in writing. You also earn 70% of any cancellation charge paid on a booking for your board.
10.2 You earn on settled days. A day's earnings are settled once its delivered airtime is counted, normally the next day. You earn nothing on airtime that was not delivered, or on extra airtime the advertiser was given free.
10.3 Payment dates. We pay settled earnings on the 11th, 21st and 1st of each month. An amount under ₹200 is carried to the next payment date. If we change these dates, we will give notice in the app.
10.4 Tax deducted at source. We deduct TDS as the law requires and issue TDS certificates. Without a valid PAN, the higher rate the law sets applies.
10.5 Your payout profile must be accurate: the legal name as on the PAN, the PAN, the bank account and IFSC or UPI ID, and GST status. We are not responsible for a payment sent to the account details you gave us.
10.6 Statements. Your earnings, deductions and payouts are shown in the SLX On Air web console. Each payout comes with a statement.
11. GST
11.1 If your organisation is registered for GST:
- You invoice SLX. After each period we email you a request listing what your invoice must contain, with a pre-filled draft. You issue your GST invoice to SLX for your share and upload it.
- Your share, less TDS, is paid on the payment date whether or not the invoice has arrived.
- The GST on your invoice is paid later. We pay it after all of these: your invoice is uploaded and matches the period; it appears in SLX's GSTR-2B; your GSTIN is active; and your GSTR-3B is filed.
- You must file your returns and pay the GST you charge. If SLX loses input tax credit because you did not, or must pay interest or a penalty because of it, we may withhold that amount or recover it from your future earnings. If your future earnings are not enough, you must repay it within 30 days of our request.
11.2 If your organisation is not registered: you confirm that you are not required to register for GST. Tell us at once if that changes. Your payout statement is the record of each payment.
12. Bookings when things change
12.1 Turning off Pay and Post. You can turn off Pay and Post at any time. From then on, no new bookings can be made. Bookings already made continue to run until they end, and you earn on them as usual.
12.2 Suspension by SLX. We may suspend Pay and Post on a board, with immediate effect, if we reasonably believe:
- these Terms have been breached;
- there is fraud, or airtime is being misreported;
- a law or an authority requires it; or
- a screen can no longer report correctly.
When we do, advertisers get back the money for airtime not yet delivered. We pay you for airtime already delivered, except where the suspension is for fraud or misreporting by you.
12.3 Adjustments. We may correct your earnings, and recover any amount from future earnings, where:
- an amount was paid in error;
- airtime is found not to have been delivered; or
- an advertiser's payment is reversed by their bank or card network (a chargeback).
Where future earnings are not enough, you must repay the amount within 30 days of our request.
13. Your promise to cover our losses (indemnity)
You will indemnify SLX, and its directors and staff, against claims, penalties and reasonable costs arising from:
- your breach of these Terms;
- a paid post you approved in breach of Section 5.4;
- your failure to hold any permission your venue needs to display advertising; or
- taxes that are yours to pay.
This does not cover losses caused by SLX's own breach or negligence.
14. Limits on our liability
14.1 SLX is not liable for indirect or consequential loss, or for loss of profit, business or goodwill.
14.2 SLX's total liability to you under these Terms in any 12 months is limited to the earnings paid or payable to you in that period.
14.3 Nothing in these Terms limits liability that the law does not allow to be limited.
15. Personal information
15.1 You may see advertisers' names and the content they submit. Use them only to review and run their paid posts on your board.
15.2 Our Privacy Policy explains how SLX handles personal information.
16. Complaints and grievances
16.1 Anyone can report a paid post through the app, or by writing to our Grievance Officer: Nikhil Bapna, nikhil@simplylocalx.com, Wabi Tech Pvt. Ltd., C-64/4 Okhla Phase 2, New Delhi, Delhi 110020, India.
16.2 We acknowledge complaints within 24 hours and resolve them within 15 days, or sooner where the law requires.
17. Changes to these Terms
17.1 We may update these Terms. The new version will show its date and appear in the app.
17.2 To keep taking new bookings, you must accept the new version. Bookings already made continue under the terms that applied when they were made.
18. General
18.1 Your relationship with SLX. You supply airtime to SLX as an independent business. These Terms do not make you SLX's partner, agent or employee.
18.2 Law and courts. These Terms are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction.
18.3 Notices to you go to your account email or appear in the app. Notices to SLX go to info@simplylocalx.com.
18.4 Assignment. You may not transfer your rights under these Terms without our consent.
18.5 Severability. If any part of these Terms is found unenforceable, the rest still applies.
